These terms govern your purchase and use of a license for AI Copilot for Magento 2 or AI Merchandiser for Magento 2 (each, the "Software") from TVT Commerce LLC ("TVT Commerce", "we", "us"). By purchasing a license or using the Software, you agree to these terms.
1. License grant
A license is a one-time purchase that grants a non-exclusive, non-transferable right to install and use the Software on the number of production domains covered by your plan (Single Store: 1 domain; Growth: up to 5 domains; Agency: unlimited domains). Staging and local development copies of a licensed production domain do not count against your domain limit.
You may not resell, sublicense, or redistribute the Software or your license key. Agencies may install and operate the Software on client stores on the client's behalf, but the license itself remains held by the purchasing account.
2. Fees, renewals & refunds
- The license fee is one-time — there is no subscription for using the Software itself. An optional annual renewal unlocks new version updates and priority support; declining to renew does not disable or degrade the version you already have.
- Where offered, "done-for-you installation" is a separate, optional add-on purchased alongside a license.
- You may pay via PayPal or by check/money order, payable to TVT Commerce LLC; a license is issued once payment is confirmed.
- Refunds: we offer a full refund within 30 days of purchase if the Software doesn't fit your store, no questions asked. Contact us through the contact form to request one. A refunded license is revoked.
3. Your own AI provider account
The Software connects to an AI provider — Anthropic Claude, OpenAI, Google Gemini, DeepSeek, Moonshot Kimi, Ollama, or a custom OpenAI-compatible endpoint — using an API key you provide and control. You are solely responsible for that provider's fees, usage limits, terms of service, and the content it generates. We are not a party to your relationship with your AI provider and are not responsible for its availability, output accuracy, or costs.
4. Acceptable use
- Don't attempt to circumvent domain-lock activation or license validation.
- Don't reverse-engineer the Software beyond what applicable law permits.
- Don't use the Software in a way that violates applicable law or a third party's rights.
5. Disclaimer of warranties
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don't warrant that the Software will be error-free, that AI-generated output will be accurate, or that it will meet every requirement of your specific Magento setup.
6. Limitation of liability
To the maximum extent permitted by law, TVT Commerce's total liability arising out of or relating to a license or the Software is limited to the amount you paid for that license in the 12 months preceding the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or lost data.
Every write the Software performs against your store (a product edit, a CMS update, a bulk change) requires your explicit confirmation before saving — you remain responsible for reviewing changes before confirming them.
7. Term & termination
A license remains valid indefinitely once issued. We may revoke a license if payment is charged back or reversed, if these terms are materially breached, or as part of a refund. You may stop using the Software and request account deletion at any time via the contact form.
8. Changes to these terms
We may update these terms from time to time; the "Last updated" date above will reflect the most recent revision. Continuing to use the Software after a change means you accept the revised terms.
9. Governing law
These terms are governed by the laws of the jurisdiction in which TVT Commerce is registered, without regard to conflict-of-law principles.
